Here in the question it is said that Kuznetsov is allowed to vote proxy in case there is a cost benefit either to Matric or Barnikoff or both.
In case of Barnikoff there is only a shift in the financial year from September to December and this is not considered to be a cost benefit for Barnikoff and hence, voting proxy here is not permitted.
In case of Matric there is a proposal to enter into a high risk venture which may provide a cost benefit to it’s clients and hence, voting proxy is permitted in this scenerio.
